1. Agreement to Terms

By accessing or using the services provided by Rebel Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services.

2. Services Description

Rebel Technologies provides:

• Managed IT services and support
• Cybersecurity assessments and solutions
• Technology cost assessments and consulting
• Website and application development
• IT training and educational resources
• Technical support ticketing system

3. Account Registration

To access certain services, you must:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses, or destructive nature
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services or servers
• Impersonate any person or entity
• Collect or harvest any personally identifiable information
• Use our services to send spam or unsolicited communications

5. Service Level Agreement

For managed IT services:

• Response times vary based on service tier and issue priority
• Uptime guarantees apply only to services explicitly covered
• Scheduled maintenance windows are excluded from uptime calculations
• Force majeure events are excluded from service level commitments

6. Payment Terms

For paid services:

• Payment is due according to the agreed billing cycle
• Late payments may result in service suspension
• All fees are exclusive of taxes unless stated otherwise
• Refunds are subject to our refund policy
• We reserve the right to modify pricing with 30 days notice

7. Intellectual Property

All content, features, and functionality of our services are owned by Rebel Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Work product created specifically for you under a service agreement becomes your property upon full payment, except for our pre-existing intellectual property and general methodologies.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services. This obligation survives the termination of services.

9. Data Protection

We commit to:

• Implement appropriate security measures to protect your data
• Process data only according to your instructions
• Assist with your compliance obligations where applicable
• Delete or return data upon termination of services

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REBEL TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from or related to these terms shall not exceed the amount paid by you for the services in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Rebel Technologies and its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Conduct that we believe harms us or other users
• As required by law

Upon termination, your right to use our services will cease immediately. Provisions that should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Manitoba, Canada, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Manitoba.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
